Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of https://imaginatrix.app (the "Website") and the software-as-a-service products and licences provided by Imaginatrix Technologies Pvt. Ltd. (doing business as "Imaginatrix", "we", "us", or "our") (the "Services"). By accessing the Website, requesting a demo, or subscribing to or licensing any Service, you ("you", "Customer") agree to these Terms. If you do not agree, do not use the Website or Services.

The Services

We provide ready-made business software — including MLM, billing & invoicing, school management, inventory & POS, CRM, and HR & payroll — delivered as a hosted subscription or as a one-time perpetual (lifetime) licence. The specific product, plan, modules, user limits, fees, and any custom scope for your order are set out in your order form, quotation, or invoice ("Order"). Where these Terms conflict with a signed Order or Master Services Agreement, that document prevails for the relevant Service.

Eligibility & Accounts

• The Services are intended for businesses and for users aged 18 or over.
• You are responsible for the accuracy of the information you provide and for keeping your account credentials secure and confidential.
• You are responsible for all activity under your accounts, including that of your users, and must notify us promptly of any unauthorised use.

Subscriptions, Licences & Renewals

• Subscription plans (monthly or annual) grant a non-exclusive, non-transferable right to access the hosted Service for the paid term. Unless cancelled, subscriptions renew automatically for successive terms at the then-current rate.
• Lifetime licence grants a perpetual, non-exclusive, non-transferable licence to use the specified version of the software, subject to the licence terms in your Order. Updates and support beyond the initial period may require an annual maintenance contract (AMC).
• You may cancel a subscription at any time; cancellation takes effect at the end of the current paid term. See our Refund Policy.

Fees, Taxes & Payment

• Fees are as stated in your Order. Published prices are exclusive of taxes; GST and any other applicable taxes are charged as required by law and itemised on your invoice.
• Unless stated otherwise, subscription fees are payable in advance, and invoices are due on receipt or within the period stated on the invoice.
• Prices for international customers may be billed in the agreed currency; approximate on-site conversions are for guidance only.
• We may suspend or downgrade Services on overdue accounts after reasonable notice. Late payments may attract interest as permitted by law.

Acceptable Use

Your use of the Services must comply with our Acceptable Use Policy and all applicable laws. You must not use the Services for unlawful, fraudulent, or abusive purposes, or in any way that harms the Services or other users. You are solely responsible for ensuring your use of any product — including MLM or network-marketing features — complies with the laws applicable to your business and jurisdiction (for example, the Consumer Protection (Direct Selling) Rules, 2021 in India).

Customer Data & Privacy

• You retain all rights to the data you and your users upload to the Services ("Customer Data"). You grant us a limited licence to host, process, and back up Customer Data solely to provide, secure, and support the Services.
• We process personal data within Customer Data as your processor, in line with our Privacy Policy and any Data Processing Addendum.
• You are responsible for the lawfulness of Customer Data and for having any necessary consents and notices for the data you upload.
• You can export Customer Data at any time; on termination we provide an export and then delete our copies as described in the Privacy Policy.

Intellectual Property

• The Services, software, and all related IP — including source code, designs, and documentation — are and remain the property of Imaginatrix Technologies Pvt. Ltd. and its licensors. We grant you only the rights expressly stated in these Terms and your Order.
• Except for a lifetime licence with agreed source-code rights, no ownership of the software transfers to you.
• Third-party and open-source components remain subject to their own licences.
• Unless you ask us not to, we may reference your company name and logo as a customer in our marketing.

Third-Party Services

The Services may integrate with third-party services (payment gateways, WhatsApp/SMS providers, cloud infrastructure, biometric devices, tax portals, and app stores). We are not responsible for the availability, pricing, or policy changes of such services, and your use of them may be subject to their own terms.

Availability & Support

We aim to keep the hosted Services available and supported as described in our Service Level Agreement. The Services may occasionally be unavailable for scheduled maintenance (notified in advance where practicable) or due to events beyond our reasonable control.

Warranties & Disclaimers

We warrant that the Services will be provided with reasonable skill and care. Except as expressly stated, the Website and Services are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that they will meet every regulatory requirement of your specific business without your own configuration and review.

Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Services shall not exceed the fees paid by you for the affected Service in the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or wilful misconduct.

Indemnification

You agree to indemnify us against claims arising from your Customer Data, your use of the Services in breach of these Terms or applicable law, or your infringement of third-party rights. We agree to indemnify you against third-party claims that the Services, as provided by us and used in accordance with these Terms, infringe that party's intellectual property rights.

Suspension & Termination

• We may suspend or terminate the Services for non-payment, breach of these Terms or the Acceptable Use Policy, or where required by law, with notice where practicable.
• Either party may terminate a subscription at the end of the current term, or immediately for a material breach uncured for 15 days after written notice.
• On termination, your right to access the hosted Service ends; we provide a data export as described in the Privacy Policy. Fees already paid are handled per our Refund Policy.

Governing Law & Disputes

These Terms are governed by the laws of India. The parties will first attempt to resolve any dispute amicably through good-faith negotiation. Failing that, disputes are subject to the exclusive jurisdiction of the courts at Kolkata, West Bengal, India, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.

Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted here with a revised "last updated" date. For material changes affecting active subscriptions, we will provide reasonable notice. Continued use after changes constitutes acceptance.
